1. Services

Reserved provides software development, web design, and digital consulting services. Our services include but are not limited to: custom software development, web application development, mobile application development, UI/UX design, and technical consulting.

The scope, timeline, and deliverables for any project will be defined in a separate Statement of Work (SOW) or project agreement between Reserved and the client.

2. Intellectual Property

Unless otherwise agreed in writing, upon full payment of all fees, clients will own all intellectual property rights in the final deliverables created specifically for them. Reserved retains the right to use general knowledge, skills, and experience acquired during the project, as well as any pre-existing tools, libraries, or frameworks.

The content on our website, including text, graphics, logos, and software, is the property of Reserved and is protected by copyright and other intellectual property laws.

3. Payment Terms

Payment terms will be specified in individual project agreements. Unless otherwise stated:

• A deposit may be required before work commences
• Invoices are due within 30 days of receipt
• Late payments may incur additional fees
• All fees are quoted in the currency specified in the project agreement

4. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes but is not limited to business plans, technical specifications, customer data, and financial information.

Confidentiality obligations will survive the termination of any agreement for a period of two (2) years unless otherwise specified.

5. Limitation of Liability

To the maximum extent permitted by law, Reserved shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to these Terms or the use of our services.

Our total liability for any claims arising under these Terms shall not exceed the total amount paid by the client to Reserved in the twelve (12) months preceding the claim.

6. Warranties and Disclaimers

Reserved warrants that services will be performed in a professional and workmanlike manner. We will make reasonable efforts to correct any defects in our work within a reasonable time after notification.

Except as expressly stated herein, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

7. Termination

Either party may terminate a project agreement with written notice as specified in the individual project agreement. Upon termination, the client shall pay for all work completed up to the termination date.

We reserve the right to terminate or suspend access to our website immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Tokyo, Japan.

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of our website after any changes constitutes acceptance of the new Terms.
